Acceptance

These Terms are an agreement between you and VSYST Technologies Private Limited. By registering on or using DZZLO OMS — the Android and iOS apps and the website (together, the "Platform") — you accept them for yourself and for the company you represent. If you do not agree to these terms, we kindly ask that you do not register on or use the Platform.

Definitions

  • Dealer — a petrol pump retail outlet registered on the Platform that sells fuel.
  • Customer — a company / person registered on the Platform that buys fuel from a petrol pump.
  • User — an individual using the Platform on behalf of a Dealer or a Customer.
  • Invoice — a bill raised by a Dealer on the Platform.
  • Voucher — a payment / receipt or journal entry recorded on the Platform.

What the Platform is — and is not

The Platform lets Dealers and Customers place and fulfil fuel orders, raise and receive invoices, maintain a common ledger, set credit limits, and make and record payments. VSYST provides the software only. VSYST is not the seller of fuel, is not a party to any sale between a Dealer and a Customer, does not extend credit, and is not a lender. Every sale is between the Dealer and the Customer.

Accounts and eligibility

The Platform is for business use by Dealers, Customers and their Users; it is not for consumers or minors. An account is created with a verified mobile number (OTP) and a password. A User joins a company by invitation of that company's administrator, and a Dealer–Customer relationship is created only when the request is accepted by the other side. Access is currently by referral. You must give accurate information and keep it current, keep your credentials secret, and tell us at once of any unauthorised use. You are responsible for everything done under your account.

Responsibilities

Dealers are responsible for the accuracy of delivery by checking difference in purchase orders and sales orders, raising invoice, acknowledge payments and deciding refunds.

Customers are responsible for the orders placed by their Users, the vehicles and drivers they register, and payment of their invoices.

Everyone must use the Platform lawfully and for genuine business.

Orders, delivery and invoices

Purchase orders are placed by a Customer and sales order are fulfilled by the Dealer’s user at its outlet, with a registered vehicle and driver. Delivery takes place at the outlet; nothing is shipped. The Invoice is the Dealer's document. Any dispute about quantity, quality, price or an invoice is between the Dealer and the Customer. The order, delivery and ledger records on the Platform are the record of what happened, and the platform will make them available to both parties.

Payments

At present all payments are made outside the platform. The Customer pays the Dealer directly — by NEFT, RTGS, cheque, etc. — and then records the payment on the Platform as a Voucher against the invoices paid, stating the amount with details. The Voucher remains pending until a Dealer user verifies the receipt and approves it manually; on approval the invoices are marked Paid or Part-paid and the common ledger is updated. A pending Voucher may be deleted by the Customer; an approved Voucher is never deleted. VSYST does not handle funds at any point in this process.

Fees for the Platform

The Platform is currently free. We expect to introduce a subscription in coming future; we will publish the fee and its terms, and obtain your agreement, before any fee is charged.

Cancellations and refunds

These are governed by our Cancellation and Refund Policy, which forms part of these Terms.

The ledger and records

Entries in the common ledger are made by the party responsible for them and approved by the other side where the Platform requires it. Approved entries are not deleted; corrections are made by further entries — credit notes, debit notes, reversals — so that the record stays complete. VSYST maintains the record.

Credit limits

Credit limits are set by the Dealer for each Customer and enforced by the Platform when an order is placed. A credit limit is the Dealer's commercial decision. VSYST neither grants credit nor guarantees any Customer's payment.

Data and privacy

We process personal data as described in our Privacy Policy: to run the Platform, send transaction notifications, secure accounts and improve the service. You can delete your account from Settings → Delete Account. Business records already entered in a ledger are retained as required by law and by the other party's right to its own records.

Intellectual property

The Platform, its software, design, marks and content belong to VSYST. You receive a limited, non- exclusive, non-transferable right to use the Platform for your business under these Terms. Your business data remains yours.

Acceptable use

You must not misrepresent your identity or company; enter false orders, invoices or payments; circumvent credit limits or approvals; interfere with the Platform or its security; copy, scrape or reverse-engineer it; or use it for anything unlawful.

Suspension and termination

VSYST reserves the right to suspend or terminate an account for breach of these Terms, suspected fraud, or a legal requirement, and will tell you why where the law allows. You may stop using the Platform at any time and delete the account as in clause 12. Clauses that by their nature should survive — records, liability, governing law — survive termination.

Availability, disclaimer and limitation of liability

We work to keep the Platform available and accurate but provide it "as is". We do not guarantee uninterrupted or error-free operation, including of banks, app stores or networks we do not control. VSYST is not liable for any dispute, loss or default between a Dealer and a Customer, for fuel supplied or not supplied, or for credit extended. To the extent permitted by law, VSYST's total liability for any claim arising from the Platform is limited to the fees you paid to VSYST in the twelve months before the claim, or ₹10,000 if none, and excludes indirect or consequential loss.

Indemnity

You will indemnify VSYST against claims arising from your breach of these Terms, your misuse of the Platform, or any dispute between you and another User, Dealer or Customer.

Third-party services

The Platform relies on third-party services — app stores, push notification, analytics and crash reporting — each governed by its own terms. We are not responsible for their acts or omissions.

Changes to these Terms

We may update these Terms. We will post the new version with its date and, for material changes, notify you in the app. Continued use after the change is acceptance.

Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction at Raipur, Chhattisgarh, India. Before going to court, please write to our grievance officer (clause 21); we will try to resolve the matter within 7 days. See Governing Law and Dispute Resolution.

Nature of the transactions

Payments on DZZLO settle invoices raised by a dealer for fuel dispensed at the dealer's outlet against a verified order. Delivery takes place at the outlet at the time of dispensing; nothing is shipped. VSYST is a technology platform: it is not the seller, it does not receive or hold any payment, and the payment gateway settles each payment directly to the dealer's own bank account.

Cancelling an order

An order that is still pending — fuel not yet dispensed — can be withdrawn by the customer at no charge. Once fuel has been dispensed and the invoice raised, the sale is complete and cannot be cancelled. Any correction to a raised invoice is made by the dealer through a credit note in the platform, or by raising an issue with us through Help → Contact Us.

Refunds of payments made to a dealer

The dealer is the seller and the recipient of the payment, so a refund is decided and raised by the dealer.

  • When a refund arises: a payment in excess of the invoice, a duplicate payment, a payment made against the wrong invoice.
  • How to request: the customer asks the dealer through the app or by email, quoting the invoice and payment reference.
  • How it is paid: the dealer raises the refund in DZZLO; it is executed through the payment gateway to the original payment instrument. The reversal is recorded in the common ledger seen by both parties.
  • Timeline: the refund is initiated within 7 working days of the dealer's approval. Credit to the customer's account depends on the bank or card network, typically 5–10 working days thereafter.
  • VSYST does not hold the funds and therefore cannot refund on a dealer's behalf. VSYST will provide the order, invoice and payment records needed to resolve any request.

Failed or pending payments

No invoice is marked paid until the payment gateway confirms success. If an amount is debited but the payment shows as failed, the amount is reversed by the bank or gateway, usually within 7 working days. If it is not, write to us with the transaction reference and we will take it up with the payment gateway.

Duplicate payments

If the same invoice is paid twice, the second payment is refunded by the dealer as in section 4 or, at the customer's request, retained by the dealer as an on-account advance against future invoices.

Chargebacks

A dispute raised by a customer with its bank is handled through the payment gateway's chargeback process. The dealer responds with the order, delivery and invoice records from the common ledger; VSYST supplies these records.

Subscription fees

DZZLO is free to use today. When subscription fees are introduced, this section will state the billing period, cancellation and refund terms before any fee is charged. Our expected terms: a subscription can be cancelled at any time, access continues to the end of the paid period, and fees for the current period are not refunded except where VSYST has failed to provide the service.

This clause forms part of our Terms and Conditions and our Cancellation and Refund Policy.

Governing law

These terms, and every policy published on the DZZLO platform, shall be governed by the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. Payments on the platform are processed by an RBI-authorised payment aggregator under the Payment and Settlement Systems Act, 2007.

Jurisdiction

Any dispute will be subject to the exclusive jurisdiction located at Raipur, Chhattisgarh, India.

How a dispute is resolved

  • Write to us first. Send the complaint to our grievance officer, at info@vsyst.in, or through Help → Contact Us in the app, quoting the order, invoice or payment reference. We acknowledge within 48 hours and aim to resolve within 7 days.
  • Disputes between a Dealer and a Customer — about quantity, quality, price, an invoice or a payment — are between those two parties. VSYST provides the order, delivery, invoice and ledger records from the platform to both sides, and does not decide the dispute.
  • Payment disputes. — A failed, duplicate or disputed gateway payment is taken up with the payment aggregator through its grievance process; a refund, where due, is raised by the Dealer as set out in the Cancellation and Refund Policy.
  • Courts. If a dispute with VSYST is not resolved within 30 days of the complaint, either party may approach the courts named in clause 2.

Governing law

These terms, and every policy published on the DZZLO platform, shall be governed by the laws of India,

including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

Payments on the platform are processed by an RBI-authorised payment aggregator under the Payment

and Settlement Systems Act, 2007.

Jurisdiction

Any dispute will be subject to the exclusive jurisdiction located at Raipur, Chhattisgarh, India.

  • Disputes between a Dealer and a Customer — about quantity, quality, price, an invoice or a payment — are between those two parties. VSYST provides the order, delivery, invoice and ledger records from the platform to both sides, and does not decide the dispute.
  • Payment disputes. — A failed, duplicate or disputed gateway payment is taken up with the payment aggregator through its grievance process; a refund, where due, is raised by the Dealer as set out in the Cancellation and Refund Policy.
  • Courts. If a dispute with VSYST is not resolved within 30 days of the complaint, either party may approach the courts named in clause 2.

What the Platform is — and is not

The Platform lets Dealers and Customers place and fulfil fuel orders, raise and receive invoices, maintain

a common ledger, set credit limits, and make and record payments. VSYST provides the software only.

VSYST is not the seller of fuel, is not a party to any sale between a Dealer and a Customer, does not

extend credit, and is not a lender. Every sale is between the Dealer and the Customer.

Accounts and eligibility

The Platform is for business use by Dealers, Customers and their Users; it is not for consumers or minors.

An account is created with a verified mobile number (OTP) and a password. A User joins a company by

invitation of that company's administrator, and a Dealer–Customer relationship is created only when the

request is accepted by the other side. Access is currently by referral. You must give accurate information

and keep it current, keep your credentials secret, and tell us at once of any unauthorised use. You are

responsible for everything done under your account.

Responsibilities

Dealers are responsible for the accuracy of delivery by checking difference in purchase orders and sales orders, raising invoice, acknowledge payments and deciding refunds.

Customers are responsible for the orders placed by their Users, the vehicles and drivers they register, and payment of their invoices.

Everyone must use the Platform lawfully and for genuine business.

Orders, delivery and invoices

Purchase orders are placed by a Customer and sales order are fulfilled by the Dealer’s user at its outlet,

with a registered vehicle and driver. Delivery takes place at the outlet; nothing is shipped. The Invoice is

the Dealer's document. Any dispute about quantity, quality, price or an invoice is between the Dealer and

the Customer. The order, delivery and ledger records on the Platform are the record of what happened,

and the platform will make them available to both parties.

Payments

At present all payments are made outside the platform. The Customer pays the Dealer directly — by

NEFT, RTGS, cheque, etc. — and then records the payment on the Platform as a Voucher against the

invoices paid, stating the amount with details. The Voucher remains pending until a Dealer user verifies

the receipt and approves it manually; on approval the invoices are marked Paid or Part-paid and the

common ledger is updated. A pending Voucher may be deleted by the Customer; an approved Voucher is

never deleted. VSYST does not handle funds at any point in this process.

Fees for the Platform

The Platform is currently free. We expect to introduce a subscription in coming future; we will publish the

fee and its terms, and obtain your agreement, before any fee is charged.

Cancellations and refunds

These are governed by our Cancellation and Refund Policy, which forms part of these Terms.

The ledger and records

Entries in the common ledger are made by the party responsible for them and approved by the other side

where the Platform requires it. Approved entries are not deleted; corrections are made by further entries

— credit notes, debit notes, reversals — so that the record stays complete. VSYST maintains the record.

Credit limits

Credit limits are set by the Dealer for each Customer and enforced by the Platform when an order is

placed. A credit limit is the Dealer's commercial decision. VSYST neither grants credit nor guarantees any

Customer's payment.

Data and privacy

We process personal data as described in our Privacy Policy: to run the Platform, send transaction

notifications, secure accounts and improve the service. You can delete your account from Settings →

Delete Account. Business records already entered in a ledger are retained as required by law and by the

other party's right to its own records.

Intellectual property

The Platform, its software, design, marks and content belong to VSYST. You receive a limited, non-

exclusive, non-transferable right to use the Platform for your business under these Terms. Your business

data remains yours.

Acceptable use

You must not misrepresent your identity or company; enter false orders, invoices or payments; circumvent

credit limits or approvals; interfere with the Platform or its security; copy, scrape or reverse-engineer it; or

use it for anything unlawful.

Suspension and termination

VSYST reserves the right to suspend or terminate an account for breach of these Terms, suspected fraud,

or a legal requirement, and will tell you why where the law allows. You may stop using the Platform at any

time and delete the account as in clause 12. Clauses that by their nature should survive — records,

liability, governing law — survive termination.

Availability, disclaimer and limitation of liability

We work to keep the Platform available and accurate but provide it "as is". We do not guarantee

uninterrupted or error-free operation, including of banks, app stores or networks we do not control. VSYST

is not liable for any dispute, loss or default between a Dealer and a Customer, for fuel supplied or not

supplied, or for credit extended. To the extent permitted by law, VSYST's total liability for any claim arising

from the Platform is limited to the fees you paid to VSYST in the twelve months before the claim, or

₹10,000 if none, and excludes indirect or consequential loss.

Indemnity

You will indemnify VSYST against claims arising from your breach of these Terms, your misuse of the

Platform, or any dispute between you and another User, Dealer or Customer.

Third-party services

The Platform relies on third-party services — app stores, push notification, analytics and crash reporting

— each governed by its own terms. We are not responsible for their acts or omissions.

Changes to these Terms

We may update these Terms. We will post the new version with its date and, for material changes, notify

you in the app. Continued use after the change is acceptance.

Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction at

Raipur, Chhattisgarh, India. Before going to court, please write to our grievance officer (clause 21); we will

try to resolve the matter within 7 days. See Governing Law and Dispute Resolution.

technology platform: it is not the seller, it does not receive or hold any payment, and the payment gateway

settles each payment directly to the dealer's own bank account.

Cancelling an order

An order that is still pending — fuel not yet dispensed — can be withdrawn by the customer at no charge.

Once fuel has been dispensed and the invoice raised, the sale is complete and cannot be cancelled. Any

correction to a raised invoice is made by the dealer through a credit note in the platform, or by raising an

issue with us through Help → Contact Us.

Refunds of payments made to a dealer

The dealer is the seller and the recipient of the payment, so a refund is decided and raised by the dealer.

  • When a refund arises: a payment in excess of the invoice, a duplicate payment, a payment made against the wrong invoice.
  • How to request: the customer asks the dealer through the app or by email, quoting the invoice and payment reference.
  • How it is paid: the dealer raises the refund in DZZLO; it is executed through the payment gateway to the original payment instrument. The reversal is recorded in the common ledger seen by both parties.
  • Timeline: the refund is initiated within 7 working days of the dealer's approval. Credit to the customer's account depends on the bank or card network, typically 5–10 working days thereafter.

credit limits or approvals; interfere with the Platform or its security; copy, scrape or reverse-engineer it; or

use it for anything unlawful.

Suspension and termination

VSYST reserves the right to suspend or terminate an account for breach of these Terms, suspected fraud,

or a legal requirement, and will tell you why where the law allows. You may stop using the Platform at any

time and delete the account as in clause 12. Clauses that by their nature should survive — records,

liability, governing law — survive termination.

Availability, disclaimer and limitation of liability

We work to keep the Platform available and accurate but provide it "as is". We do not guarantee

uninterrupted or error-free operation, including of banks, app stores or networks we do not control. VSYST

is not liable for any dispute, loss or default between a Dealer and a Customer, for fuel supplied or not

supplied, or for credit extended. To the extent permitted by law, VSYST's total liability for any claim arising

from the Platform is limited to the fees you paid to VSYST in the twelve months before the claim, or

₹10,000 if none, and excludes indirect or consequential loss.

Indemnity

You will indemnify VSYST against claims arising from your breach of these Terms, your misuse of the

Platform, or any dispute between you and another User, Dealer or Customer.

Third-party services

The Platform relies on third-party services — app stores, push notification, analytics and crash reporting

— each governed by its own terms. We are not responsible for their acts or omissions.

Changes to these Terms

We may update these Terms. We will post the new version with its date and, for material changes, notify

you in the app. Continued use after the change is acceptance.

Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction at

Raipur, Chhattisgarh, India. Before going to court, please write to our grievance officer (clause 21); we will

try to resolve the matter within 7 days. See Governing Law and Dispute Resolution.
